Buffery Affiliate Program Agreement

(“Friends With Benefits” — Totally Not an Affiliate Program)

 

This Affiliate Program Agreement (“Agreement”) is entered into between Buffery (“Buffery,” “we,” “us”) and you (“Affiliate”) upon Buffery’s acceptance of your application to participate in the Buffery Affiliate Program (“Program”).

By applying to and participating in the Program, you confirm that you have read, understood, and agreed to the terms below.

1. Enrollment & Acceptance

Participation in the Program requires submission of a complete application.
Buffery reviews applications at its sole discretion and may accept or reject any applicant for any reason.

Acceptance into the Program does not create any guaranteed term, exclusivity, or ongoing obligation by either party.

2. Term & Termination

This Agreement becomes effective upon Buffery’s acceptance of your application.

Either party may terminate participation at any time:

  • You may terminate with written notice.

  • Buffery may terminate immediately, with or without notice.

Upon termination, you must immediately cease use of:

  • Affiliate discount codes

  • Buffery branding or assets

  • Any representation of affiliation with Buffery

Termination does not affect the payout of eligible, earned commissions as outlined in this Agreement.

3. Independent Contractor Relationship

You participate as an independent contractor.

Nothing in this Agreement creates an employment relationship, partnership, agency, or joint venture. You may not represent yourself as speaking or acting on behalf of Buffery.

You are solely responsible for:

  • Your own taxes

  • Compliance with applicable laws

  • Any disclosures required in your jurisdiction

4. Commission Structure & Eligibility

Affiliates earn commissions on qualifying sales generated through their unique Buffery discount code.

  • Commission rates are determined by Affiliate tier

  • Tiers are based solely on net dollar sales, measured over a rolling evaluation period

  • Net sales exclude taxes, shipping, shipping insurance, refunds, returns, cancellations, and chargebacks

Commissions are not earned on:

  • Personal purchases made using your own code

  • Orders that are returned, refunded, or canceled

Buffery reserves the right to adjust commission structures, tiers, or Program mechanics with reasonable notice.

4.1 Affiliate Commission Tiers

Affiliates may qualify for different commission tiers based on recent performance.

Tier 1 - "Knows a Guy"

10% commission

  • Entry level
  • All approved affiliates start here

Tier 2 - "Good for It"

12% commission

Qualifies based on performance within a rolling 90-day period:

  • $2,500+ in net completed sales

Tier 3 - "The Go-To"

15% commission

Qualifies based on performance within a rolling 90-day period:

  • $7,500+ in net completed sales

Levels adjust automatically based on recent referrals. No pressure - it just tracks reality. Tier changes are communicated privately.

5. Returns, Holding Period & Payouts

Buffery maintains a 30-day return window from delivery.

Accordingly:

  • Commissions are held until the return window has closed

  • Only completed, non-returned orders are eligible

Payouts:

  • Are issued monthly

  • Are paid via PayPal to the email address provided by the Affiliate

  • Are issued only for finalized, eligible commissions

Buffery does not issue advances or on-demand payouts.

6. FTC Compliance & Truthful Promotion

Affiliates must comply with all applicable advertising and endorsement laws, including FTC Endorsement Guidelines.

This includes:

  • Clear and conspicuous disclosure of affiliate relationships

  • Honest, experience-based representations

  • No false, misleading, or unverifiable claims

Medical, performance, or outcome claims that cannot be substantiated are strictly prohibited.

7. Promotion Standards & Restrictions

Affiliates may promote Buffery authentically and in their own voice, subject to the following restrictions:

  • No spamming, mass unsolicited outreach, or automated posting

  • No posting of affiliate codes on coupon aggregation sites or unauthorized forums

  • No paid advertising using Buffery trademarks, brand names, or product names without prior written approval

  • Affiliate codes may not be combined with other discounts unless explicitly authorized

Buffery reserves the right to withhold commissions or terminate participation for violations of this section.

8. Brand Alignment & Conduct

Affiliates are expected to conduct themselves professionally when promoting Buffery.

Prohibited conduct includes content that is:

  • Illegal, hateful, defamatory, or threatening

  • Misleading or intentionally deceptive

  • Materially harmful to the Buffery brand

If concerns arise, Buffery will typically attempt to address them through communication before taking corrective action, but is not obligated to do so.

9. Content Usage Rights

By tagging Buffery, submitting content, or otherwise creating promotional material related to the Program (“Affiliate Content”), you grant Buffery a non-exclusive, royalty-free, worldwide license to use, reproduce, and display such content for marketing and promotional purposes.

This license survives termination of this Agreement.

10. Confidentiality

You may receive non-public information, including but not limited to:

  • Pricing

  • Launch details

  • Sales or performance data

  • Internal communications

Such information is confidential and may not be shared, disclosed, or reproduced without Buffery’s written consent. Unauthorized disclosure constitutes a material breach of this Agreement.

11. Non-Disparagement

During and after participation in the Program, you agree not to knowingly make false, misleading, or disparaging statements about Buffery, its products, employees, or affiliates.

This does not restrict honest opinions expressed in good faith or lawful whistleblowing activity.

12. Program Changes

Buffery may modify, suspend, or discontinue the Program at any time.

Changes will be communicated reasonably when possible. Continued participation after changes constitutes acceptance of updated terms.

13. Governing Law

This Agreement shall be governed by and interpreted under the laws of the State of New York, without regard to conflict-of-law principles.

14. Entire Agreement

This Agreement constitutes the entire understanding between you and Buffery regarding the Program and supersedes all prior communications or agreements related to the subject matter.

No modification is valid unless made in writing by Buffery.
